These Terms of Service ("Terms") constitute a binding legal agreement between you ("User," "you," or "your") and GoodSign Limited, a company incorporated under New Zealand law, operating the HeyGopher platform ("Company," "we," "us," or "our"). These Terms govern your access to and use of HeyGopher's business management platform, including our website at https://heygopher.ai and all associated services (collectively, the "Service").

BY ACCESSING OR USING OUR SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SERVICE.

1. Acceptance and Modifications

1.1 Agreement Formation

Your use of the Service constitutes acceptance of these Terms and our Privacy Policy, which is incorporated herein by reference.

1.2 Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Continued use of the Service after modifications constitutes acceptance of the revised Terms.

1.3 Eligibility

You must be at least 18 years of age and possess the legal authority to enter into this agreement. By using the Service, you represent and warrant that you meet these requirements.

2. Service Description

2.1 Platform Overview

HeyGopher provides a cloud-based business management platform that enables users to manage invoicing, time tracking, projects, expenses, client relationships, and related business operations.

2.2 Service Availability

While we strive to maintain continuous service availability, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. User Accounts and Responsibilities

3.1 Account Registration

To access certain features, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You must notify us immediately of any unauthorized use of your account. We are not liable for losses resulting from unauthorized account access due to your failure to maintain account security.

3.3 User Conduct

You agree to use the Service in compliance with all applicable laws and regulations. You shall not engage in any activity that could harm, disable, or impair the Service or interfere with other users' access.

4. Prohibited Uses

You expressly agree not to:

  • Violate any applicable local, state, national, or international law or regulation
  • Transmit or upload malicious software, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service to harass, threaten, or harm others

5. Intellectual Property Rights

5.2 User Content

You retain ownership of data and content you upload to the Service, including invoices, documents, client information, and project data. By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Service.

5.3 Restrictions

You may not copy, modify, distribute, or create derivative works based on our intellectual property without express written permission.

6. Privacy and Data Protection

6.1 Privacy Policy

Our collection, use, and protection of personal information is governed by our Privacy Policy, available at https://heygopher.ai/privacy.

6.2 Data Processing

By using the Service, you consent to our collection and processing of personal data in accordance with our Privacy Policy and applicable data protection laws.

7. Payment Terms and Billing

7.1 Subscription Fees

Access to certain Service features requires payment of subscription fees as outlined in our pricing plans. Charges will appear on your statement as "HEYGOPHER.AI".

7.2 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will begin and applicable fees will be charged unless you cancel before the trial expires.

7.3 Payment Processing

Payments are processed by Stripe, our third-party payment processor. You agree to provide accurate billing information and authorize us to charge applicable fees.

7.4 Refund Policy

Refunds are provided at our discretion. If you are unsatisfied with the Service, contact us within 14 days of your initial payment for a full refund.

8. Limitation of Liability

8.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Liability Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODSIGN LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

8.3 Damages Cap

Our total liability for any claims arising under these Terms shall not exceed the amount paid by you for the Service during the one (1) month immediately preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless GoodSign Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

10. Termination

10.1 Termination by User

You may terminate your account at any time by following the account closure procedures in the Service or by contacting us.

10.2 Termination by Company

We may suspend or terminate your access to the Service immediately, without notice, for violation of these Terms or for any other reason at our discretion.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account and data, subject to our data retention policies and legal obligations.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of New Zealand, without regard to conflict of law principles.

11.2 Jurisdiction

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

11.3 Alternative Dispute Resolution

Before pursuing formal legal action, parties agree to attempt resolution through good faith negotiations for a period of thirty (30) days.

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

13. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and GoodSign Limited regarding the Service.

15. Additional Provisions

15.1 Assignment

We may assign our rights and obligations under these Terms without your consent. You may not assign your rights without our written consent.

15.2 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.3 Electronic Communications

You consent to receive communications from us electronically, and such communications satisfy any legal requirement for written notice.

15.4 Third-Party Services

The Service may integrate with third-party services. We are not responsible for the availability, content, or practices of such third-party services.
